BKV Corp. Goes Public on NYSE After Nearly Two-Year Wait

New York, NY - 26 Sept 2024 - BKV Corp., the largest producer in the Barnett Shale, successfully marked its entry into the public market on the New York Stock Exchange (NYSE). Initially opening at $18.55 per share, the company's stock closed the first trading day at its IPO price of $18. This event comes after BKV first filed to go public in November 2022. Despite various economic hurdles, such as low natural gas prices, heightened interest rates, and global geopolitical instability, the company has finally advanced with its public offering.

BKV initially aimed to sell 15 million shares within the price range of $19 to $21 per share. However, the shares were adjusted to an opening price of $18.55. By the end of the trading day, the stock settled back at $18 per share, according to Yahoo Finance.

In an exclusive interview with Hart Energy, BKV CEO Chris Kalnin explained that multiple factors influenced the decision to proceed with the IPO. Notably, interest rates had started to drop, and there were positive shifts in the gas-price forward curve. However, the primary driver was the surging demand for energy to power artificial intelligence (AI) data centres.

“One of the things that really played to our strength is the whole AI data centre boom,” Kalnin stated. “Our ability to offer gas, power and decarbonize that energy mix in the form of carbon sequestration is unparalleled in Texas, and I think the market appreciates that.”

BKV is not solely a natural gas producer. Along with its financial backer, Banpu Plc—a Thai energy firm, the company has stakes in gas-fired power plants across Texas. Additionally, BKV operates a retail electric business, BKV Energy, to supply power to customers in Texas and is actively integrating carbon capture, utilisation, and storage (CCUS) projects to curb emissions from gas production.

The IPO allows BKV to leverage the high demand for cleaner power sources, particularly from hyperscaling technology companies and AI data centres. Companies in the AI industry are increasingly searching for reliable and low-cost power solutions, aligning with Microsoft's efforts to restart the Three Mile Island nuclear plant as part of their clean energy initiatives.

Kalnin believes the concept of “guilt-free gas,” which involves combining natural gas power generation with CCUS, appeals to the environmentally conscious AI sector. “We are having conversations with them already,” he confirmed.

Other natural gas producers and infrastructure operators are similarly attempting to tap into the growing AI energy demand. For instance, LandBridge Co., which went public on the NYSE this summer, has secured a land-lease agreement with a data centre developer in the Delaware Basin.

BKV's strategic focus extends beyond AI energy needs. The company has significant operations in the Barnett Shale and maintains a smaller footprint in the Marcellus Shale. As of June 30, BKV held 479,000 net acres in the Barnett and recorded an average gas production of 807.6 MMcfe/d in the first half of 2024.

Despite its diversification, BKV's operations are closely tied to natural gas prices, which have seen substantial fluctuations. Henry Hub spot prices averaged $1.98 per MMBtu in August 2024, a decline from $2.58 per MMBtu in the previous year. Nonetheless, there have been steady price increases throughout September 2024.

Banpu Plc, which owns a 75.9% stake in BKV post-IPO, has reaffirmed its financial backing for the company. CEO Sinon Vongkusolkit commented, “We’re a strong supporter on gas... I think what BKV has built is a very unique story.”

The capital raised from the IPO, estimated at $230 million, will primarily be used to reduce BKV's existing debt. “It gives us access to capital, it delevers the balance sheet further with giving us headroom,” Kalnin highlighted.

Looking ahead, BKV’s focus will be on enhancing domestic production while exploring opportunities for future LNG exports. The company aims to benefit from the ongoing buildout of LNG projects along the Gulf Coast, with aspirations of linking its gas production to international markets.

As BKV embarks on its new chapter as a public company, it remains committed to leveraging its advanced gas production capabilities and environmental sustainability projects to meet evolving market demands.
