Morgan Stanley Infrastructure Partners (MSIP) is set to make a significant investment in the data center developer Flexential, reflecting the increasing demand for digital infrastructure driven by advancements in artificial intelligence (AI) and high-performance computing. The announcement, made on 21st October, details the collaboration between MSIP and the existing investor, GI Partners, to facilitate Flexential's expansion within the rapidly evolving digital landscape.

Flexential currently manages a comprehensive network of over 40 data centers across the United States, providing a total capacity of 325 megawatts that is either operational or in development. The company highlights its readiness to support substantial growth owing to widespread digital transformation initiatives by enterprises, the rising adoption of cloud technology, and the evolving needs of hyperscale and AI workloads.

There's an increasing interest from entities involved in the entire energy value chain—ranging from upstream gas producers to infrastructure developers—to tap into the growing demand for data centers required to support energy-intensive computing tasks. As producers advocate for future data centers to be situated in regions with access to inexpensive natural gas, notably places like Appalachia and the Permian Basin, the discourse around optimal geographic locations continues.

Christopher Ortega, head of Americas at MSIP, expressed confidence in Flexential's robust infrastructure and its leadership in the industry, stating that the company is excellently positioned to seize market opportunities. The investment will see MSIP taking up a co-control investor role alongside GI Partners, infusing substantial primary capital into Flexential to sustain its ongoing expansion and development strategies.

The prospective transaction is anticipated to conclude in the fourth quarter of the year. Throughout this process, Kirkland & Ellis LLP served as legal counsel to MSIP, while Citi took on the role of lead financial advisor. Evercore also contributed as a financial advisor in the deal. For Flexential and GI Partners, Ropes & Gray LLP provided legal counsel, and Goldman Sachs acted as the exclusive financial advisor.

This strategic move underscores the flourishing demand for digital infrastructure capabilities across various sectors, particularly as technological advancements continue to reshape enterprise operations and computational requirements worldwide. Flexential’s growing network of data centers is a testament to its strategic positioning in meeting the ever-growing demands of the digital age.
